Sagevisor Capital advises on its First Venture Debt Mandate of Acquisition Financing of INR 900 mn to one of the leaders in Digital Supply Chain Finance and Lending Solutions Globally.

Sagevisor Capital acted as an Exclusive Advisor to one of the leading Global SAAS Based Platforms in Supply Chain Finance & Lending Solutions in India to help them acquire one of the leading Digital Marketing company in India. The Transaction further helped establish Sagevsior’s Credentials in the private credit space.

Few highlights:

  • The Debt Raise was the first ever Debt Raise for the Group. It cemented the Group’s Credit History among reputed lending institutions in India.
  • Sagevisor Team initially met and gave the client adequate confidence in terms of providing the right Debt/Equity mix to their intended acquisition. After all Equity is the costliest source of capital and Leverage has its own advantages if its right sized. While the Equity piece was handled by the client from its set of trusted & loyal investors, the Debt piece was conceptualised, brainstormed, presented & anchored with investors within a time bound process by Sagevisor.
  • Two Reputed & Marquee Institutions participated in the Debt Raise. One being India’s leading NBFC’s and the other being a Global Invesment Institution which runs its own Private Credit Fund in India as well.
  • It involved Thorough Financial Due Diligence by one of India’s leading consulting firms (PWC India) as well as Legal Due Diligence by one of India’s leading Legal Firms (Khaitan & Co). 
  • Transaction took 6 months End to End to complete. During that period, Sagevisor team handheld the client right through all the nuances of the Debt raise right from the structure (As the Group had 9 operating companies within its fold), FDD, LDD and eventual managing the whole credit process with the investors as well.
  • The acquisition established the group as a significant player in the Digital Marketing space in India integrating well within the already established ecosystem of the Group into one dynamic umbrella. 
  • The Deal had its own challenges and various ups and downs, but at the end the Team at Sagevisor managed to navigate its way through all the challenges and achieve a significant and efficient capital solution for the company.
